IIF LIFT Framework — Platform Terms & Post-Close Contribution

This is the LIFT Platform Terms shown to GP, Founder and Project Owner members before they proceed from Learn to Indicate on IIF. It is reproduced here for reference — members accept it directly within their dashboard when applicable.
By proceeding from Learn to Indicate within the Intuitive Investors Forum ("IIF") LIFT Framework, you acknowledge and agree to the following terms governing your participation in the IIF platform and fundraising workflow.
1. About IIF & the LIFT Framework. Intuitive Investors Forum ("IIF") is a private, invite-led global capital activation platform connecting verified investors, fund managers, founders, project owners and ecosystem participants. The LIFT Framework — Learn, Indicate, Facilitate, Transfer — provides a structured workflow through which eligible opportunities may progress from profile and thesis alignment to investor interest, due diligence, documentation, funding and transaction close. IIF acts solely as a facilitator and platform operator. IIF does not guarantee funding, investment or financing and does not act as a broker, investment adviser, financial adviser, placement agent or other licensed professional service provider.
2. Fundraising Participants Covered. The Post-Close Contribution provisions apply exclusively to General Partners / Fund Managers ("GPs") raising capital; Founders / Companies raising equity, debt or hybrid financing; and Project Owners / Sponsors raising equity, debt or hybrid/project financing. LPs and other capital providers are expressly excluded from this Post-Close Contribution obligation.
3. Member Post-Close Contribution. Where a GP, Founder, Company or Project Owner successfully raises capital through an IIF-enabled fundraising process, the participant agrees to make a USD $5,000 post-close member contribution to IIF for each successfully funded transaction. The contribution applies each time the relevant participant successfully raises capital through the IIF platform; applies to equity, debt and hybrid financing; becomes due following confirmation of receipt of funds; and must be paid within seven (7) business days of such funding confirmation.
4. Nature and Purpose of the Contribution. The USD $5,000 Post-Close Contribution is a member contribution toward the ongoing maintenance, operation, development and sustainability of the IIF platform, infrastructure and member ecosystem. It is not a brokerage commission, success fee, placement fee, investment fee, financial advisory fee, legal fee, consulting fee or other professional charge, nor is it calculated as a percentage of capital raised. IIF is a facilitator and platform operator only and does not undertake regulated brokerage, investment advisory, financial advisory, fundraising placement or other professional services on behalf of any participant. Participants remain responsible for obtaining their own independent legal, financial, tax, regulatory and other professional advice where required.
5. Funding Confirmation & Close. A transaction will be considered funded/closed when IIF receives confirmation, or otherwise reasonably verifies, that the relevant capital has been transferred and received by the fundraising participant, company, fund or designated project recipient. IIF may record the funding confirmation, transaction close and applicable contribution deadline within the LIFT dashboard and issue a payment request or invoice accordingly.
6. Platform Workflow & Records. By proceeding to Indicate, the participant acknowledges that IIF may facilitate introductions, investor communications, deal-room activity, information exchange, due-diligence workflows, document coordination, transaction tracking and close reporting through the LIFT Framework. Participants are responsible for ensuring that information submitted to IIF is accurate, complete and not misleading and for satisfying all applicable legal, regulatory, compliance and transaction requirements.
7. Acceptance. By selecting "I Agree & Continue to Indicate", the participant confirms that they have read, understood and accepted these Terms, including the USD $5,000 Post-Close Member Contribution applicable to successful fundraising transactions.
