Welcome to Intuitive Investors Forum ("IIF"). These Terms & Conditions ("Terms") govern your access to and use of the IIF website, membership platform, LIFT Framework, deal rooms, digital tools, communications and related services (collectively, the "Platform").
By accessing the Platform, creating an account, applying for membership or using any IIF service, you agree to be bound by these Terms. If you do not agree, you should not use the Platform.
1. About IIF
IIF is a private, invite-led global capital activation platform connecting verified LPs, GPs, family offices, institutional investors, founders, project owners and ecosystem participants.
IIF provides infrastructure for discovery, matching, introductions, information exchange, due diligence coordination and transaction workflow through its LIFT Framework — Learn, Indicate, Facilitate and Transfer.
IIF is a facilitator and platform operator. IIF is not a bank, broker, investment dealer, investment adviser, financial adviser, placement agent, fund manager, lender, legal adviser, tax adviser or other professional services provider.
2. Eligibility & Verification
Membership and access to certain Platform functions are subject to application, verification and approval by IIF. You agree to provide accurate, complete and current information and to update your information when circumstances change.
IIF may request additional information or documentation for identity, institutional, business, compliance, accreditation, KYC/AML or other verification purposes.
IIF reserves the right to approve, decline, suspend or terminate access where it considers this necessary to protect the integrity, security or interests of the Platform and its members.
3. LIFT Framework
The LIFT Framework provides the principal workflow for capital relationships facilitated through IIF:
LEARN — Profile, mandate, thesis and opportunity discovery.
INDICATE — Expression of interest and, where applicable, execution of an Indication of Interest ("IOI").
FACILITATE — Introductions, deal-room access, information exchange, meetings, due diligence and transaction coordination.
TRANSFER — Definitive documentation, funding/transfer and recording of transaction close.
Participation in LIFT does not guarantee an investment, financing, introduction, transaction or successful close.
4. Investor & Fundraising Opportunities
IIF may facilitate access to opportunities involving equity, debt, hybrid financing, funds, projects, companies and other investment or financing opportunities. Information presented on the Platform may be supplied by members or third parties. IIF does not independently guarantee the accuracy, completeness, legality, financial performance or suitability of every opportunity.
Members are responsible for conducting their own independent due diligence and obtaining appropriate professional advice before entering into any transaction.
5. No Investment or Professional Advice
Nothing on the Platform constitutes investment, financial, legal, tax, accounting or other professional advice. IIF does not recommend that any member invest in, lend to, acquire, sell or otherwise transact with any particular person, fund, company or project.
All investment and financing decisions remain solely with the relevant parties. Members should obtain independent professional advice appropriate to their circumstances and jurisdiction.
6. IIF Is Not a Broker
IIF does not act as a broker, placement agent or licensed intermediary and does not execute investments or financing transactions on behalf of members.
IIF's role is limited to providing technology, community infrastructure, introductions, workflow coordination and capital activation tools. Any investment, financing or other transaction is entered into directly between the relevant parties under their own definitive agreements.
7. IOIs, LOIs & Definitive Documents
An IOI submitted through IIF represents an indication of interest and does not, by itself, constitute a binding commitment to invest or provide financing.
Where appropriate, parties may progress to an LOI, term sheet or other preliminary transaction document.
Definitive transaction documents — including subscription agreements, investment agreements, shareholders' agreements, loan/facility agreements, security documents, LPAs and related documents — are the responsibility of the relevant transaction parties and their advisers. IIF is not a party to those underlying transactions unless expressly stated otherwise.
8. Fundraising Participant Post-Close Contribution
GPs, founders, companies and project owners who successfully raise capital through an IIF-enabled fundraising process are subject to the applicable Post-Close Member Contribution.
This applies separately to each successfully funded equity, debt or hybrid transaction and is payable within seven (7) business days of confirmed receipt of funds.
The contribution is a member/platform contribution toward the maintenance, operation, development and sustainability of the IIF platform and member ecosystem. It is not a brokerage commission, success fee, placement fee, investment fee, financial advisory fee or other professional services charge.
LPs and other capital providers are not subject to this specific Post-Close Contribution.
The detailed LIFT Platform Terms & Post-Close Contribution acknowledgement presented before the Indicate stage forms part of these Terms.
9. Member Responsibilities
Members agree to: provide accurate and non-misleading information; maintain the confidentiality of information received through IIF; use information only for legitimate purposes; comply with applicable laws and regulations; conduct their own due diligence; respect intellectual property and confidentiality rights; avoid fraudulent, abusive or misleading activity; and promptly notify IIF of suspected unauthorised access or misuse.
10. Confidentiality
Members may receive confidential business, financial, investment, technical or personal information through the Platform. Members must not disclose, reproduce, distribute or misuse confidential information except as authorised by the relevant party or required by law.
IIF may implement confidentiality acknowledgements, NDAs, access controls and other measures within individual deal rooms.
11. Intellectual Property
The IIF name, brand, website, software, LIFT Framework, platform architecture, content, databases, workflows and associated intellectual property belong to IIF or its licensors.
Members receive a limited, non-exclusive, non-transferable right to use the Platform for its intended purpose. No member may copy, reproduce, reverse engineer, commercialise or exploit IIF's proprietary systems or materials without written permission.
12. Third-Party Services & Links
The Platform may integrate with third-party technology, payment providers, cloud services, verification services, communication tools and external websites.
IIF is not responsible for the availability, security, content or performance of third-party services. Your use of third-party services may be subject to separate terms and privacy policies.
13. Platform Availability
IIF will use reasonable efforts to maintain Platform availability but does not guarantee uninterrupted, error-free or continuous access.
IIF may temporarily suspend or modify the Platform for maintenance, security, upgrades, technical issues or other operational reasons.
14. Suspension & Termination
IIF may suspend or terminate a member's access where the member: breaches these Terms; provides false or misleading information; misuses the Platform; compromises Platform or member security; engages in unlawful or fraudulent conduct; or otherwise acts in a manner that may materially harm IIF or its members.
Termination does not extinguish obligations that accrued before termination, including applicable payment or confidentiality obligations.
15. Limitation of Liability
To the fullest extent permitted by applicable law, IIF shall not be liable for investment losses, financing failures, business losses, missed opportunities, transaction disputes, inaccurate information supplied by members, actions of third parties or the failure of any transaction to close.
IIF does not guarantee the performance, solvency, credibility or conduct of any member or transaction counterparty.
16. Indemnity
To the extent permitted by law, you agree to indemnify and hold IIF and its officers, directors, employees and representatives harmless from claims, losses, liabilities, damages and expenses arising from your breach of these Terms, misuse of the Platform, unlawful conduct or violation of another person's rights.
17. Changes to These Terms
IIF may update these Terms periodically to reflect changes to the Platform, business operations, technology or applicable law. Material changes may be communicated through the Platform or by email.
Your continued use of the Platform following the effective date of updated Terms constitutes acceptance of the revised Terms.
18. Governing Law & Dispute Resolution
These Terms shall be governed by the laws of United Arab Emirates, subject to any mandatory laws applicable to the member or transaction.
